These Terms of Service govern the use of the wispa website (wispa.it) and the wispa desktop application for macOS, as well as the grant of a software licence when you purchase wispa. By downloading, installing, activating or using wispa, or by purchasing a licence, you agree to these terms.

2. Scope and definitions
These terms apply to consumers and businesses. "wispa" means the macOS desktop application for push-to-talk dictation and related features offered under that name. "Licence" means a paid lifetime licence key that unlocks unlimited use beyond the free trial. "You" means the natural or legal person who downloads, uses or purchases wispa.
3. Free trial
You may download and use wispa free of charge for a limited trial. The free trial unlocks the full feature set up to a cumulative limit of 5,000 dictated words. When that limit is reached, you may once complete an optional feedback survey for an additional 3,000 free words (up to 8,000 in total). After the free allowance is used, further dictation requires a paid licence. No account is required for the free trial. Free use is subject to these terms.
4. Purchase and Merchant of Record
Paid licences are sold as a one-time purchase (currently €39, unless a different price is shown at checkout). Payment and tax collection are handled by Polar Software Inc. ("Polar") as Merchant of Record. The purchase contract for the payment is concluded with Polar under Polar's terms. After a successful purchase you receive a licence key. The software licence itself is granted by Merlin Kreuzkam under these terms.
Prices at checkout are final and include applicable taxes as charged by Polar. Currency and tax display may vary by region.
5. Licence grant
Subject to payment (where required) and compliance with these terms, you receive a non-exclusive, non-transferable, non-sublicensable, perpetual right to install and use wispa on macOS for your own personal or internal business purposes.
One licence may be activated on up to three (3) Macs at the same time. You may deactivate a device in the app to free an activation slot. Sharing a key with third parties, public distribution of keys, or commercial resale of licences is prohibited.
You must not reverse engineer, decompile or disassemble the software except where mandatory law allows it; remove or alter copyright or proprietary notices; or use wispa for unlawful purposes.
6. Lifetime licence and updates
A paid licence is a lifetime licence: it does not expire by time and is not a subscription. While wispa is offered as a product, paid licensees receive software updates (including new features and fixes) at no extra charge. There is no guarantee that wispa will be developed, supported or distributed forever, or that a particular future feature will ship. If the product is discontinued, your last installed version remains usable under these terms, subject to technical and platform constraints outside our control (for example future macOS changes).
7. Activation, offline use and revocation
Licence keys are activated online and then remain valid offline for lifetime keys, subject to occasional re-validation when a network connection is available. We may revoke or disable a licence if payment is reversed or refunded, if the key was obtained fraudulently, or if you materially breach these terms (for example key sharing beyond the allowed activations). On revocation, the right to use the paid features ends.
8. Third-party services and local processing
With a local speech model, transcription can run entirely on your device. Optional cloud speech-to-text and optional AI post-processing use API keys that you provide (for example OpenAI, Groq or Anthropic). Those services are separate contracts between you and the provider. We are not responsible for their availability, pricing, accuracy or data practices. You are responsible for complying with their terms and for any costs they charge you.
9. Intellectual property
wispa, including its code, design, branding and documentation, is protected by copyright and other intellectual property rights. You receive only the licence rights described in these terms. Open-source components included in the app remain under their respective licences, which are listed in the app under About → Open Source.
10. Right of withdrawal (consumers in the EU/EEA)
If you are a consumer in the European Union or European Economic Area, you generally have a statutory right to withdraw from a distance contract within 14 days without giving reasons. For digital content that is not supplied on a tangible medium, that right expires early if (a) performance has begun with your prior express consent, and (b) you have acknowledged that you thereby lose your right of withdrawal. When you purchase and receive a licence key for immediate use, Polar's checkout flow is designed to obtain that consent and acknowledgement where required.
Where a statutory right of withdrawal still applies, or where Polar's refund rules require it, refunds are processed via Polar as Merchant of Record. Contact hello@suenavus.com or Polar's customer support for purchase-related requests. Beyond statutory rights, there is no voluntary money-back guarantee.
11. Warranty
For consumers, statutory warranty rights for digital products under applicable German and EU law remain unaffected. We aim for wispa to work as described on wispa.it, but speech recognition is probabilistic: accuracy depends on microphone quality, language, accent, noise and model choice. We do not warrant uninterrupted or error-free operation, or that every utterance will be transcribed correctly.
If you use wispa as a business (Unternehmer within the meaning of § 14 BGB), the software is provided "as is" to the extent permitted by law; claims for defects are limited to cases of fraudulently concealed defects or a quality guarantee we expressly assumed in writing.
12. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act, and for guarantees we have expressly assumed.
In cases of slight negligence we are liable only for breach of essential contractual duties (cardinal duties), and then limited to the foreseeable damage typical for this type of contract. Essential duties are those whose fulfilment makes proper performance possible and on which you may regularly rely. Any further liability for slight negligence is excluded.
You are responsible for backing up important data. We are not liable for loss of data to the extent the loss would have been avoidable by reasonable, regular backups.
13. Availability of website and downloads
The website and download hosting (including GitHub Pages and GitHub Releases) may be temporarily unavailable due to maintenance, outages or third-party failures. There is no claim to continuous availability of the website.
14. Privacy
How personal data is processed on the website is described in the Privacy Policy. Processing inside the app is described in the app under About → Data & Privacy. These terms do not replace the Privacy Policy.
15. Changes to these terms
We may update these terms for future purchases or for continued free use of the website and app. The version published on wispa.it at the time of your purchase governs that purchase. For material changes that affect existing licensees, we will provide reasonable notice where practicable (for example on the website or in an app update note). Continued use after the effective date may constitute acceptance where permitted by law; statutory rights remain unaffected.
16. Applicable law and venue
These terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Mandatory consumer protection rules of your country of residence remain unaffected if you are a consumer.
If you are a merchant, a legal entity under public law, or have no general place of jurisdiction in Germany, the courts at our registered place of business (Voerde, Germany) have exclusive jurisdiction, subject to mandatory law.
17. Severability
If any provision of these terms is or becomes invalid, the remaining provisions stay in force. The invalid provision shall be replaced by a valid one that comes closest to the economic purpose of the original.
